1. Introduction & Acceptance of Terms
Welcome to Wekonneck Markeplace Inc (“Platform”, “we”, “us”, or “our”). By registering as a Vendor and opening a store on our marketplace, you (“Vendor”, “you”, or “your”) agree to be bound by these Vendor Terms & Conditions (“Agreement”). If you do not agree with any part of these terms, you may not register or sell products on the Platform.
2. Vendor Account & Verification
- Accuracy of Information: Vendors must provide accurate, current, and complete details during registration, including legal business name, contact information, and payout details.
- Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
- Identity Verification: We reserve the right to request proof of identity, business registration, or licensing before approving or maintaining your Vendor status.
3. Product Listings & Prohibited Items
- Product Compliance: You are solely responsible for all products, text, images, and content uploaded to your store. Products must comply with all applicable laws and regulations.
- Prohibited Goods: Vendors may not list counterfeit items, illegal substances, hazardous materials, stolen property, or products that infringe upon third-party intellectual property or copyright rights.
- Accuracy: Product descriptions, inventory levels, pricing, and tax settings must be kept accurate and up to date at all times.
4. Orders, Fulfillment & Shipping
- Order Processing: Vendors agree to process and dispatch orders promptly within the handling timeframe specified in their store policies.
- Shipping & Tracking: Vendors are responsible for securely packaging items and providing valid tracking information upon dispatch.
- Customer Communication: Inquiries and customer support requests regarding orders must be addressed in a timely and professional manner.
5. Commissions, Fees & Payouts
- Marketplace Commission: Wekonneck retains a predetermined commission fee on each sale as outlined in the Platform Commission Settings.
- Payout Balance & Withdrawals:
- Vendor earnings become eligible for withdrawal once orders are marked as Completed and pass any required holding/maturity period.
- Payout requests are subject to the Platform’s minimum withdrawal threshold and payment schedule settings.
- Reverse Withdrawals / COD: If a Vendor receives full payment directly from a customer (e.g., Cash on Delivery), the Vendor agrees to remit the platform commission back to Wekonneck within the designated limits and timeframe.
6. Refunds, Returns & Disputes
- Store Refund Policy: Vendors must maintain clear store return and refund policies that meet or exceed the Platform’s baseline customer protection guidelines.
- Dispute Escalation: In cases of unresolved buyer-vendor disputes, Wekonneck reserves the right to review the transaction details and make a final binding decision regarding refunds or chargebacks.
7. Intellectual Property
- Vendor Content: You retain ownership of all trademarks, logos, and product imagery you upload.
- Promotional License: By listing products, you grant Wekonneck a non-exclusive, royalty-free, worldwide license to display and promote your listings across our website, social channels, and marketing campaigns.
8. Account Suspension & Termination
- Termination by Vendor: You may close your store at any time, provided all pending orders are fulfilled and any outstanding fees are settled.
- Termination by Platform: Wekonneck reserves the right to suspend or terminate any Vendor account immediately for fraud, policy violations, selling prohibited items, high failure rates, or breach of this Agreement.
9. Limitation of Liability & Indemnification
- Indemnification: You agree to indemnify and hold harmless Wekonneck, its operators, and affiliates against any claims, losses, damages, or legal expenses arising from your products, store operations, or violation of these terms.
- Platform Availability: Wekonneck provides the store platform on an “as is” and “as available” basis without warranties of uninterrupted uptime.
10. Modifications to Terms
Wekonneck reserves the right to modify these Vendor Terms & Conditions at any time. Continued use of your Vendor account after changes are posted constitutes acceptance of the updated terms.
